1. Introductory provisions
1.1. These terms and conditions (hereinafter "Terms") govern the mutual rights and obligations between DomusDigital, s.r.o., ID: 23956780, with registered office at Korunní 2569/108, 101 00 Prague (hereinafter "Provider"), and the person using the Dokumentárna.cz service (hereinafter "User").
1.2. By using the Dokumentárna.cz service, the User confirms that they have read and agree to these Terms.
1.3. Legal relationships not governed by these Terms are governed by the relevant provisions of the Civil Code and related legal regulations of the Czech Republic.
2. Service subject
2.1. Dokumentárna.cz is a cloud application designed for storing, organizing, archiving, searching and optionally sharing documents.
2.2. The service also enables features such as automatic data extraction using artificial intelligence, smart search, document version management and other functionalities according to the chosen plan.
2.3. The Provider reserves the right to continuously update, change or modify the service functionality, and the User will be appropriately informed of significant changes.
3. Registration and user account
3.1. Registration and creation of a user account is required to use the service.
3.2. The User is obliged to provide truthful and current information during registration and to continuously update this information.
3.3. The User is responsible for securing their access credentials and is obliged to prevent their misuse.
3.4. The user account is non-transferable.
3.5. The Provider may block or cancel the account in case of violation of the Terms or legal regulations.
4. Prices and payment terms
4.1. Prices for individual plans are listed on the Dokumentárna.cz website.
4.2. The Provider is entitled to change prices, with the change taking effect from the beginning of the next billing period. The User will always be informed of the change in advance.
4.3. The service is provided in the form of a subscription.
4.4. Payment is due before the start of the period for which the service is prepaid.
4.5. All prices are including VAT, unless otherwise specified.
5. Intellectual property rights and license
5.1. All software, design, source code, databases and other elements of the service are the intellectual property of the Provider.
5.2. The User obtains a non-exclusive, non-transferable and time-limited license to use the service for the duration of the subscription.
5.3. The User must not decompile, modify, reverse analyze or otherwise interfere with the technical solution of the service.
5.4. The User remains the exclusive owner of documents and data stored in the service.
6. Personal data protection (GDPR)
6.1. The Provider processes Users' personal data in accordance with the GDPR Regulation and Act No. 110/2019 Coll.
6.2. Details on the processing of personal data are set out in the Privacy Policy, which forms an integral part of these Terms.
6.3. The User is responsible for having authorization to upload documents containing personal data of third parties to the service.
7. Service operation and availability (SLA)
7.1. The Provider undertakes to make reasonable efforts to ensure 24/7 service availability.
7.2. The Provider is not responsible for outages caused by third parties, force majeure or necessary maintenance.
7.3. The Provider may temporarily interrupt operation for maintenance purposes, of which the User will be informed in advance, if possible.
8. Liability and limitation of liability
8.1. The User uses the service at their own risk.
8.2. The Provider is not responsible for damages caused by: a) improper use of the service, b) data loss due to the User's fault, c) interventions by third parties beyond the Provider's control, d) technical outages or force majeure circumstances.
8.3. The Provider is not responsible for the content of documents uploaded by the User.
8.4. The Provider's liability for any damage is limited to the amount of the User's annual subscription.
9. Termination of contractual relationship
9.1. The User may terminate the contract at any time by canceling the account or not renewing the subscription.
9.2. The Provider may terminate the contract in case of serious violation of the Terms.
9.3. After termination of the subscription, the Provider may delete the User's data after a certain period, if the service is not extended. The User will be informed of the deadline.
10. Complaints and dispute resolution
10.1. The User may complain about the service functionality via the contact email address listed on the website.
10.2. The Provider undertakes to process the complaint within 30 days at the latest.
10.3. Disputes arising between the Provider and the User will be resolved amicably; if no amicable solution is reached, the competent court of the Czech Republic will decide.
11. Final provisions
11.1. The Provider is entitled to change these Terms. The new wording will be published on the Dokumentárna.cz website.
