Marketplace / User-to-User Licensing

1. Introductory provisions

1.1. These terms govern the rights and obligations of users who offer or sell their documents through the Dokumentárna.cz service, and further the relationship between the Seller and the Service Provider DomusDigital, s.r.o.

1.2. Dokumentárna.cz acts as an intermediary — provides a technical environment for offering, purchasing and distributing documents.

1.3. The Seller is fully responsible for the content of documents that they make available to other users.

2. Roles of contracting parties

2.1. Seller – a user who offers their documents to other users for sale or licensing through the platform.

2.2. Buyer – a user who purchases a document.

2.3. Provider – DomusDigital, s.r.o., which provides the platform for document distribution, processes payments and ensures the technical operation of the marketplace.

2.4. The Provider is not responsible for the content of documents or for contractual performance between the Seller and the Buyer.

3. Document rights (license)

3.1. The Seller declares that they are the exclusive owner of the document or have the right to commercially offer the document.

3.2. By uploading a document for sale, the Seller grants the Provider: a non-exclusive license to store, display, process and distribute it to the Buyer, exclusively for the purpose of operating the marketplace.

3.3. The Seller is fully responsible for ensuring that the document does not violate: copyright, trade secrets, protection of personal data of third parties, other rights or laws.

4. Price and commission

4.1. The Seller may set their own price for the document.

4.2. The Provider charges a commission on each sale. The commission amount is stated in the price list.

4.3. After the Buyer pays for the document, the commission is automatically deducted and the remaining amount is credited to the Seller.

4.4. Payouts are made based on invoicing or automatic settlement according to account settings.

5. Document content

5.1. It is not permitted to sell documents that: contain personal data of third parties without legal reason, violate copyright, are illegal, misleading or false, contain hateful or dangerous content.

5.2. The Provider may remove a document that violates these rules at any time.

6. Liability

6.1. The Seller is responsible for the legal correctness, quality and currency of the document.

6.2. The Provider does not guarantee against damage caused to the Buyer by using the document.

6.3. The Provider is not responsible for violation of third-party rights by the Seller.

7. Complaints and disputes between users

7.1. Complaints are primarily resolved between the Buyer and the Seller.

7.2. The Provider may facilitate communication but is not obliged to decide the situation.

7.3. In case of serious violation of rules, the Provider may restrict or remove the Seller's ability to sell documents.

8. Payments and invoicing

8.1. Payments are processed through a payment gateway provider.

8.2. The Seller is responsible for the accuracy of their billing information.

8.3. Sales settlement takes place monthly or according to the plan.

9. Termination of cooperation

9.1. The Seller may stop offering documents at any time.

9.2. The Seller agrees that documents may remain available to Buyers who have already purchased them, even after sales are terminated.

9.3. The Provider may restrict or terminate document sales at any time in case of violation of terms.

10. Final provisions

10.1. These terms form part of the terms and conditions and by accepting them, the user also accepts these sales terms.

10.2. The Provider may update the terms.
